MISSION:
The Winona Fine Arts Commission exists to promote, educate and facilitate efforts concerning the performing, literary and visual arts in the Winona area. The Commission serves as a resource for the community, artists and art organizations, and serves in an advisory capacity to the City Council on arts and humanities initiatives.

Article I
EMPOWERMENT

The Winona Fine Arts Commission, created by an act of the City Council of the City of Winona, Minnesota on April 4, 1994, is a citizen body appointed by the Mayor and approved by the City Council.

Article III
OBJECTIVES AND PURPOSES

a. To take ownership of the Arts and Humanities subsection of the City of Winona's Comprehensive Plan and to facilitate implementation of the Plan in coordination with the City Council and other stakeholders in the community;

b. to review all proposed City related arts and humanities initiatives and to make recommendations to the City Council regarding said initiatives;

c. to provide residents of the Winona area a community calendar of arts events;

d. to conduct an annual Public Meeting on arts and humanities issues;

e. to provide an annual State of the Arts report to the City Council;

f. to assist, support and be a resource for arts and art education in the area;

g. to identify and facilitate cooperation among artists and art organizations throughour the greater community, and

h. to serve as an advocate for arts and culture in the community at large.

Article IV
MEMBERS AND LENGHTS OF TERMS

Commissioners must be residents of Winona County and at least 18 years of age at the time of appointment. The Commission shall consist of nine (9) members serving without pay who are appointed by the Mayor of the City of Winona with consent and approval of the City Council. The majority of membership on the Commission shall be filled from the broad diversity of the Fine Arts community.

Three members shall serve a term to expire June 1, 1995; three shall serve terms to expire on June 1, 1996; three shall serve terms to expire June 1, 1997. Thereafter, all members shall be appointed for a maximum of two (2) consecutive three year terms. Any member who has served the commission for two (2) successive three-year terms may not be reappointed until one year has expired.

Any member may be removed for incompetence, neglect of duty, misconduct or malfeasance. Any member who misses two (2) unexcused consecutive regularly scheduled monthly meetings shall automatically cease to be a member of the commission. Anytime a member has been removed from the commission by operation of this section, the chairperson shall immediately inform the appointing authority in writing of the vacancy. Any vacancy occasioned by resignation, death or removal shall be filled for the balance of the unexpired term in the same manner as provided for original appointment.

Article V
OFFICERS

The members of the commission shall elect a chairperson and vice-chairperson to serve at its pleasure and such persons shall have the customary powers and duties of such offices. The office of Secretary/Treasurer shall be assumed by the assigned City of Winona staff liaison to the Fine Arts Commission. Elections of such officers shall occur at the September meeting of each year. Officers shall not serve the same office for more than two consecutive years.

Article VI
MEETINGS

The commission shall fix the time and place for regular meetings to be held once each month. The chairperson shall have the power to call special meetings of the commission. Five (5) members shall constitute a quorum.

At least once a year the commission shall hold a public forum during a regular or special meeting during which time the public shall be invited to address the commission and suggest programs, procedures, goals and areas of emphasis as well as any other arts related issues and concerns.

All meetings shall be open to the public pursuant to Minnesota statutes. The executive secretary shall have notices of all regular meetings announced in the local print media.

Article VII
ADMINISTRATION

The commission function shall be assigned to the city council for purposes of administrative support and budgets.

The commission with city council confirmation may appoint an executive secretary who shall be responsible to the commission. The commission shall determine qualifications for the position and the selection process.

Article VIII
DUTIES

In addition to objectives stated in Article III, the commission shall develop policies, procedures, and standards for evaluating offers of gifts of art made to the city and shall from time to time recommend that gifts of art be accepted by the city council. The commission shall advise the city council on the commissioning, placement and maintenance of works of art within the city.
